Below we have listed important legal terms that apply to anyone who visits our website or uses our services. These terms are necessary in order to protect both you and us, and to make our services possible and more enjoyable for everyone. EskWork offers a wide range of services and features and part of the terms below may not be relevant to the specific services you use.
1.1. Our Purpose
Our services offer our users the ability to easily create beautiful and highly functional online presence, to manage and promote businesses, content and ideas, and have an overall great experience doing so – without being tech-savvy or a design guru. As detailed below, we offer our users numerous tools and features for creating, publishing and use of stunning websites, online e-commerce platforms, newsletters, galleries, media players, mobile apps and other online and mobile online and mobile applications, tools and services. The online and mobile websites and platforms created by Users are collectively referred to herein as (“User Platform(s)”).
1.2. Legal Agreement
These EskWork.com Terms of Use (“Terms of Use”), together with such additional terms which specifically apply to some of our services and features as presented on the EskWork.com website(s) (“EskWork Website”, and collectively – the “EskWork Terms”), all set forth the entire terms and conditions applicable to each visitor or user (“User” our “you”) of the EskWork Website, the EskWork mobile application (the “EskWork App”) and/or any other services, applications and features offered by us with respect thereto, except where we explicitly state otherwise (all services offered through the EskWork Website or the EskWork App, collectively – the “EskWork Services” or “Services”).
The EskWork Terms constitute a binding and enforceable legal contract between EskWork.com property of Tiburon Rojo VII ced. 3-102-521123 registred in Costa Rica, and its affiliated companies and subsidiaries worldwide (“EskWork”, “us” or “we”) and you in relation to the use of any EskWork Services - so please read them carefully.
You may visit and/or use the EskWork Services and/or the EskWork App only if you fully agree to the EskWork Terms - and by using and/or registering to any of the EskWork Services, you signify and affirm your informed consent to these Terms of Use and any other EskWork Terms applicable to your use of any EskWork Services. If you do not read, fully understand and agree to the EskWork Terms, you must immediately leave the EskWork Website and avoid or discontinue all use of the EskWork Services.
1.3. User Account
In order to access and use certain sections and features of the EskWork Services, you must first register and create an account with EskWork (“User Account”).
If anyone other than yourself accesses your User Account and/or any of your User Platforms’ settings, they may perform any actions available to you (unless as specifically stated otherwise on the EskWork Services), make changes to your User Platform(s) and User Account, and accept any legal terms available therein, make various representations and warranties and more – and all such activities will be deemed to have occurred on your behalf and in your name.
Therefore, we strongly encourage you to keep the log-in credentials of your User Account confidential, and allow such access only to people you trust - as you will be solely and fully responsible for all activities that occur under your User Account and/or User Platforms (including for any representations, warranties and undertakings made therein), whether or not specifically authorized by you, and for any damages, expenses or losses that may result from such activities.
You must provide accurate and complete information when registering your User Account and using the EskWork Services, to which you are the sole and exclusive rights holder. We strongly encourage you to provide your own (or your company’s) contact and billing details, including your valid e-mail address, as we may use it to identify and determine the actual and true owner of the User Account and/or User Content (as defined below) submitted to us.
In case of a dispute on User Account ownership, we reserve the right to determine ownership to a User Account based on our reasonable judgment, whether or not an independent investigation has been conducted by us. However, if we cannot make such determination (as we may deem in our sole discretion), we reserve the right to avoid doing so and/or suspend a User Account until the parties disputing such ownership, reach a resolution, without liability to you or to any other party. We may request documentation (e.g. government-issued ID, a business license) that may assist us in determining ownership. Among others, we may consider the principles set forth below.

You acknowledge and agree that your failure to abide by any of the foregoing or any misrepresentation made by you herein may result in the immediate termination of your User Account and/or any Services provided to you – with or without further notice to you, and without any refund of amounts paid on account of any such Services.
3.1. Your Intellectual Property
As between EskWork and you, you shall own all intellectual property pertaining to your User Content and to any other materials created by you, including to any designs, images, animations, videos, audio files, fonts, logos, illustrations, compositions, artworks, code, interfaces, text and literary works. EskWork does not claim ownership rights on your content. For the sole purpose of granting you the service, You know and agree that we will need to access, upload and/or copy your User Content to our platform, including cloud services and CDN’s, to make display adjustments, to duplicate for backup and perform any other technical actions and/or uses required to perform our services, as we deem fit.
3.2. EskWork’s Intellectual Property
All rights, title and interest in and to the EskWork Services, including any and all copyrightable materials or any other content thereof which is or may be subject to any intellectual property rights under any applicable law (including any artwork, graphics, images, website templates and widgets, literary work, source and object code, computer code (including html), applications, audio, music, video and other media, designs, animations, interfaces, documentation, derivatives and versions thereof, the “look and feel” of the EskWork Services, methods, products, algorithms, data, interactive features and objects, advertising and acquisition tools and methods, inventions, trade secrets, logos, domains, customized URLs, trademarks, service marks, trade names and other proprietary identifiers, whether or not registered and/or capable of being registered (collectively, “Intellectual Property”), and any derivations thereof, are owned by and/or licensed to EskWork.
Subject to your full compliance with the EskWork Terms and timely payment of all applicable Fees, EskWork hereby grants you, upon creating your User Account and for as long as EskWork wishes to provide you with the EskWork Services, a non-exclusive, non-transferable, non-sublicensable, fully revocable, limited license to use the EskWork Services and Licensed Content, for the purpose of generating and displaying your User Platform to End Users and offering your User Products (as defined below) therein, solely as expressly permitted under the EskWork Terms, and solely within the EskWork Services.
The EskWork Terms do not convey any right or interest in or to EskWork’s Intellectual Property (or any part thereof), except only for the limited license expressly granted above. Nothing in the EskWork Terms constitutes an assignment or waiver of EskWork’s Intellectual Property rights under any law.
3.3. Feedback and Suggestions
If you provide us with any suggestions, comments or other feedback relating to the EskWork Services (whether existing, suggested or contemplated), which is or may be subject to any Intellectual Property rights (“Feedback”), such Feedback shall be exclusively owned by EskWork. By providing such Feedback to EskWork, you acknowledge and agree that it may be used by EskWork in order to: (i) further develop, customize and improve of the EskWork Services, (ii) provide ongoing assistance and technical support, (iii) contact you with general or personalized EskWork -related notices and/or interview requests based on your feedback or otherwise, (iv) facilitate, sponsor and offer certain promotions, and monitor performance, (v) to create aggregated statistical data and other aggregated and/or inferred information, which EskWork may use to provide and improve its services, (vi) to enhance EskWork data security and fraud prevention capabilities, and (vii) to comply with any applicable laws and regulations. In addition, you (1) represent and warrant that such Feedback is accurate, complete, and does not infringe on any third party rights; (2) irrevocably assign to EskWork any right, title and interest you may have in such Feedback and (3) explicitly and irrevocably waive any and all claims relating to any past, present or future moral rights, artists’ rights, or any other similar rights worldwide in or to such Feedback.
Certain parts of the EskWork Services (including certain Third Party Services available therein, as further explained in Section 8 below) require or involve the submission, collection and/or use of certain personally identifying or identifiable information. In particular and as a part of accessing or using the EskWork Services, EskWork and such Third Party Services may collect, access and use certain data pertaining to Users and End Users, including the activities or navigation undertaken by Users and End Users through the EskWork Services and/or User Platforms.
5.1. Paid Services
The use of certain EskWork Services may be subject to payment of particular fees, as determined by EskWork in its sole discretion (“Paid Services” and “Fee(s)”, respectively). EskWork will provide notice of such Fees then in effect in relation to such Paid Services. If you wish to receive or use such Paid Services, you are required to pay all applicable Fees in advance.
EskWork reserves the right to change its Fees at any time, upon notice to you if such change may affect your existing subscriptions. If you received a discount or other promotional offer, EskWork shall have the right to automatically and without notice renew your subscription to such EskWork Service(s) at the full applicable Fee.
All Fees shall be deemed to be in U.S. Dollars, except as specifically stated otherwise in writing by EskWork. To the extent permitted by law (and unless specified otherwise by EskWork in writing), all Fees are exclusive of all taxes (including value added tax, sales tax, goods and services tax, etc.), levies or duties imposed by taxing authorities (“Taxes”), and you shall be responsible for payment of all applicable Taxes relating to your use of the EskWork Services, or to any payments or purchases made by you. If EskWork is obligated to collect or pay Taxes for the Fees payable by you, and whether or not such Taxes were added and collected from you for previous transactions, such Taxes may be added to the payment of any outstanding Fees and will be reflected in the Invoice for such transaction. We recommend that you verify the existence of any additional fees you may be charged by third parties in connection with the purchase of Paid Services or in connection with the renewal thereof (such as international transaction fees, currency exchange fees or fees due to banks or credit card companies). EskWork is not responsible for any such additional fees or costs.
As part of registering or submitting information to receive Paid Services, you also authorize EskWork (either directly or through its affiliates, subsidiaries or other third parties) to request and collect payment (or otherwise charge, refund or take any other billing actions) from our payment provider or your designated banking account, and to make any inquiries EskWork or its affiliates may consider necessary to validate your designated payment account or financial information, in order to ensure prompt payment, including for the purpose of receiving updated payment details from your payment, credit card or banking account provider (e.g., updated expiry date or card number as may be provided to us by your credit card company).
You may keep a credit card stored with EskWork to pay for Paid Services (“Stored Card”). You will be able to identify each Stored Card by its last four digits as in your Account Settings Page.
5.2. Invoices
EskWork and/or its affiliated companies will issue an invoice or credit memo for any payment of Fees or refund made to or by EskWork (“Invoice”). Each Invoice will be issued in electronic form and based on the country stated in your billing address, and will be made available to you via your User Account and/or by e-mail. For the purpose of issuing the Invoice, you may be required to furnish certain Personal Information (as such term is defined in the Privacy Policy) in order to comply with local laws. Please note that the Invoice presented in your User Account may be inadequate with your local law requirements, and in such case may be used for pro forma purposes only.
5.3. Subscription Auto-Renewals
In order to ensure that you do not experience any interruption or loss of services, certain Paid Services include an automatic renewal option by default, according to which, the auto-renewal option, such Paid Services will automatically renew upon the end of the applicable subscription period, for a renewal period equal in time to the original subscription period (excluding extended periods) and, unless otherwise notified to you, at the same price (subject to applicable Taxes changes and excluding any discount or other promotional offer provided for the first period) (“Renewing Paid Services”). For example, if the original subscription period for a Service is one month, each of its renewal periods (where applicable) will be for one month. Accordingly, where applicable, EskWork will attempt to automatically charge you the applicable Fees using the Stored Card, within up-to two (2) weeks before such renewal period commences. In the event of failure to collect the Fees owed by you, we may in our sole discretion (but shall not be obligated to) retry to collect on a later time, and/or suspend or cancel your User Account, without further notice. If your Renewing Paid Service is subject to a yearly or multiple-year subscription period, EskWork will endeavor to provide you a notice prior to the renewal of such Paid Service at least thirty (30) days in advance of the renewal date.
By entering into this Agreement and by purchasing a Renewing Paid Service, you acknowledge and agree that the Renewing Paid Service shall automatically renew in accordance with the above terms.
You may turn-off the auto-renewal option or cancel your Renewing Paid Services at any time via your User Account.
Certain domains are subject to a different renewal policy. Notwithstanding anything to the contrary in the foregoing, you are and shall be solely responsible to verify and ensure the successful renewal of the EskWork Services you use (whether or not such EskWork Services are subject to automatic subscription renewals). Accordingly, you shall be solely responsible with respect to any discontinuation of any EskWork Services previously purchased by you, including due to a cancellation, failure to charge the applicable recurring Fees, or due to any EskWork Services not being subject to automatic subscription renewals. You acknowledge and agree that you shall not have any claims against EskWork in relation to the discontinuation of any EskWork Services or Third Party Services, for whatever reason.
5.4. Money-Back Guarantee
If you are not satisfied with EskWork Services that are subject to a Fee for a period of service or subscription commitment and which is your initial purchase of such service, you may provide notice of cancellation for any reason within fourteen (14) days of having first ordered or activated such EskWork Services (the “Refund” and “Refund Period”). The Refund is applicable only to the initial purchase of EskWork services which is an upgrading of a free website by purchasing a Premium Plan (as offered on the EskWork Website). The Refund is not applicable to any additional purchases, upgrades, modification or renewals of EskWork Services. If you reside in a jurisdiction which requires a longer Refund Period, we will of course be happy to accommodate such requirements in accordance with all applicable laws. If EskWork receives such notice within such Refund Period, EskWork will refund to you the amount EskWork charged you for such EskWork Services, in currency you were originally charged in, and cancel them accordingly. Please note that the Refund amount may be different than the amount you were charged due to currency changes and third party fees. EskWork will not be responsible for any differences caused by change of currency exchange rates or fees you were charged by third parties. After the Refund Period, the Fees paid by you are non-refundable and non-cancellable. In addition, if we find that a notice of cancellation has been given in bad faith or in an illegitimate attempt to avoid payment for services actually received and enjoyed, we reserve our right to still charge the User who provided such notice for any EskWork Services actually received, as permitted by law.
Please note: Certain services purchased on or through the EskWork Services may be non-refundable. These include Third Party Services such as domains, business tools and applications. The terms of each purchased service or application are indicated on the EskWork Website and/or as part of or during the process of purchasing such services or applications. It is your obligation to verify your ability to cancel a service prior to purchasing it. EskWork will not refund any amounts paid for non-refundable Paid Services, applications or Third Party Services.
5.5. Chargebacks
If, at any time, we record a decline, chargeback or other rejection of a charge of any payable Fees on your EskWork account (“Chargeback”), this will be considered as a breach of your payment obligations hereunder, and your use of the EskWork Services may be automatically disabled or terminated.
In the event a Chargeback is performed, your User Account may be blocked without the option to re-purchase or re-use it, and any data contained in such User Account, including any domains, applications and Third Party Services may be subject to cancellation and Capacity Loss (as defined in Section 6.3 below).
Your use of the EskWork Services will not resume until you re-subscribe for any such EskWork Services, and pay any applicable Fees in full, including any fees and expenses incurred by EskWork and/or any Third Party Services for each Chargeback received (including Fees for EskWork Services provided prior to the Chargeback, handling and processing charges and fees incurred by the payment processor).
If you have any questions or concerns regarding a payment made to EskWork, we encourage you to first contact our Customer Support team before filing a Chargeback or reversal of payment, in order to prevent the EskWork Services from being cancelled and your User Account being blocked, and to avoid the filing of an unwarranted or erroneous Chargeback, which may result in your being liable for its applicable Fees, in addition to re-payment of all the Fees applicable to the EskWork Services purchased (and charged-back) by you.
We reserve our right to dispute any Chargeback received, including by providing the relevant credit card company or financial institution with any information and documentation proving that the User responsible for such Chargeback did in fact authorize the transaction and make use of the services rendered thereafter.
6.1. Cancellation by User
You may discontinue to use and request to cancel your User Account and/or any EskWork Services at any time, in accordance with the instructions available on the EskWork Services. The effective date and time for such cancellation shall be the date and time on which you have completed the cancellation process on the EskWork Services, and the effective date for cancellation of Paid Services shall be at the end of such Paid Services’ subscription period.
Notwithstanding anything to the contrary in the foregoing, with respect to subscriptions to Renewing Paid Services, such subscription will be discontinued only upon the expiration of the respective period for which you have already made payment. Please note that as the cancellation process may take a few days, in order to avoid the next automatic renewal and respective charge the cancellation request should be made at least fourteen (14) days prior to the expiration of the then-current service period.
6.2. Cancellation by EskWork
Failure to comply with any of the EskWork Terms and/or to pay any due Fee shall entitle EskWork to suspend (until full payment is made) or cancel your User Account and User Platform (or certain features thereof), as well as the provision of any related EskWork Services (e.g., Paid Services) or Third Party Services to you.
6.3. Loss of Data, Content and Capacity
If your User Account or any EskWork Services or Third Party Services related to your User Account are cancelled (whether at your request or at EskWork’s discretion), it may cause or result in the loss of certain content, features, or capacity of your User Account, including any User Content, End User data or other usage data retained therein, and including any domain name reservation or registration that was included in such Services (“Capacity Loss”). EskWork shall not be liable in any way for such Capacity Loss, or for saving a backup of your User Account, User Content or End User data. Please also note that additional Fees may apply to re-activation of a User Account and/or any EskWork Services following their cancellation, as determined by EskWork in its sole discretion.
The EskWork Services also include certain features which enable you to sell goods, content, media and services through your User Platform (“User Products”, and collectively – “E-Commerce”).
You are solely responsible for your User Products and E-Commerce related activities, and any promotions and related Content contained or referred to in your User Platform, and compliance with any laws applicable thereto. We are merely providing the platform for you to manage your online E-Commerce activities. We are not involved in your relationship and/or any transaction with any actual or potential buyer of your User Products. When someone purchases your User Products, such transaction’s payments will be processed through such third party payment service providers with which you decided to register and set up an account (“E-Commerce Service Provider(s)”), in accordance with such E-commerce Service Provider’s terms of service and other applicable policies. We are neither a party to nor are responsible in any way for your relationship with any such E-Commerce Service Providers, or for the actions of any of these E-Commerce Service Providers.
By using any of our E-Commerce features, you acknowledge, warrant and agree that:
As part of the EskWork Services, EskWork may provide video services.
In addition to the aforesaid in Section 12 of these Terms of Use and without any limitation of liability, you shall fully indemnify, defend and hold EskWork its officers, directors, shareholders, employees, affiliates and agents, harmless from any and all damages and costs, obligations, losses, liabilities debt and expenses (including attorneys’ fees), as accrued, that arise out of or are related to infringement and/or misuse of the patent.
The EskWork Services enable you to engage and procure certain third party services, products and tools for enhancing your User Platform and your overall user experience, including, without limitation, domain registrars from which you may purchase a domain name for your User Website, third party applications and widgets offered via the EskWork Website (including the EskWork App Market), third party Licensed Content, media distribution services, E-Commerce Service Providers, sellers of tangible products, third party designers who may assist you with your User Platform, etc. (collectively, “Third Party Services”).
You acknowledge and agree that regardless of the manner in which such Third Party Services may be offered to you (bundled or integrated within certain EskWork Services, offered separately by EskWork or persons certified or authorized by EskWork, or otherwise offered anywhere on the EskWork Services), EskWork merely acts as an intermediary platform between you and such Third Party Services, and does not in any way endorse any such Third Party Services, or shall be in any way responsible or liable with respect thereto. EskWork will not be a party to, or in any way be responsible for monitoring, any interaction or transaction between you and any Third party Services.
You acknowledge that such services may require the payment of additional amounts to EskWork and/or to the providers of such Third-Party Services.
Any and all use of such Third Party Services shall be done solely at your own risk and responsibility, and may be subject to such legal and financial terms which govern such Third Party Services, which you are encouraged to review before engaging with them.
While we hope to avoid such instances, EskWork may, at any time and at its sole discretion, suspend, disable access to or remove from your User Account, User Platform(s) and/or the EskWork Services, any Third Party Services – whether or not incorporated with or made part of your User Account and/or User Platform(s) at such time – without any liability to you or to any End Users.
10.1. Misconduct and Abuse
When using the EskWork Services, you may be exposed to User Platforms, User Content or Third Party Services from a variety of sources, which may be inaccurate, offensive, objectionable or illegal. You hereby waive any legal or equitable rights or remedies you have or may have against EskWork with respect thereto.
If you believe a User or any Third Party Services acted inappropriately or otherwise misused any of the EskWork Services, please immediately report such User and/or Third Party Service. You agree that your report shall not impose any responsibility or liability upon EskWork, and that EskWork may consider such report and act upon it, refrain from taking any such action or require additional information or documents before doing so, at its sole discretion.
10.2. Copyrights
EskWork acts in accordance with its interpretation of the Digital Millennium Copyright Act (“DMCA”). If you believe that your work has been copied or was otherwise used in a way that constitutes copyright infringement, you may notify us or otherwise provide the following information in writing to our designated Copyright Agent: (1) the contact details of the person authorized to act on behalf of the owner of the copyright; (2) a description of the copyrighted work that you claim has been infringed; (3) a description of the material that you claim to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information sufficient to permit EskWork to locate the material (including URL address); (4) a statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and (5) a statement that the information in the notification is accurate and, under penalty of perjury, that you are the copyright owner or are authorized to act on behalf of the owner of a copyright that is allegedly infringed.
In the event that EskWork receives notice regarding a copyright infringement related to your User Platform or User Website, it may cancel your User Account, take your User Platform down or remove any Content in its sole discretion, with or without prior notice to you. In such case, you may file a proper counter-notice in accordance with Section 512 of the DMCA, in which you must include: (1) your full name, address, phone number and physical or electronic signature; (2) identification of the material and its location before removal; (3) a statement under penalty of perjury that the material was removed by mistake or misidentification; (4) your consent to an appropriate judicial body; and (5) any other information required under the relevant provisions of the DMCA. Any notices filed pursuant to this Section 9 may be deemed accepted, applicable and compliant with the DMCA, or not, at EskWork’s sole reasonable discretion. EskWork reserves the right to notify the person or entity providing the infringement notice of such counter-notice and provide any details included therein.
We provide the EskWork Services on an “As Is”, “with all faults” and “As Available” basis, without any warranties of any kind, including any implied warranties or conditions of merchantability, fitness for a particular purpose, workmanlike effort, non-infringement, or any other warranty – all to the fullest extent permitted by law. We specifically do not represent or warrant that the EskWork Services (or any part, feature or Content thereof) are complete, accurate, of any certain quality, reliable or secure in any way, suitable for or compatible with any of your (or your End Users’) contemplated activities, devices, operating systems, browsers, software or tools (or that they will remain as such at any time), or comply with any laws applicable to you or your End Users (including in any jurisdiction in which you operate), or that their operation will be free of any viruses, bugs or other harmful components or program limitations. Moreover, we do not endorse any entity, product or service (including any Third Party Services) mentioned on or made available via the EskWork Services – so please be sure to verify those before using or otherwise engaging them.
EskWork may, at its sole discretion (however it shall have no obligation to do so), screen, monitor and/or edit any User Platform and/or User Content, at any time and for any reason, with or without notice.
Notwithstanding anything to the contrary in the foregoing, in no circumstances may EskWork be considered as a “publisher” of any User Content, does not in any way endorse any User Content, and assumes no liability for any User Content uploaded, posted, published and/or made available by any User or any other party on and/or through the EskWork Services, for any use by any party, or for any loss, deletion or damage thereto or thereof or any loss, damage, cost or expense that you or others may suffer or incur as a result of or in connection with publishing, accessing and/or relying on any User Content. Furthermore, EskWork shall not be liable for any mistakes, defamation, libel, falsehoods, obscenity, pornography, incitement and/or any other unlawful and/or infringing User Content you or any other party may encounter.
You acknowledge that there are risks in using the EskWork Services and/or connecting and/or dealing with any Third Party Services through or in connection with EskWork Services, and that EskWork cannot and does not guarantee any specific outcomes from such use and/or interactions, and you hereby assume all such risks, liabilities and/or harm of any kind arising in connection with and/or resulting from such interactions. Such risks may include, among others, misrepresentation of information about and/or by Third Party Services and/or Licensed Content, breach of warranty and/or contract, violation of rights, and any consequent claims.
EskWork does not recommend the use of the EskWork Services for hosting of personal content and shall not bear any security or integrity obligations or risks regarding breach or damage to any such content.
Please note that certain EskWork Services are currently offered in their BETA version, and undergoing BETA testing. You understand and agree that certain EskWork Services may still contain software bugs, suffer disruptions and not operate as intended or designated. Your use of the EskWork Services at this BETA stage signifies your agreement to participate in such EskWork Services’ BETA testing.
To the fullest extent permitted by law in each applicable jurisdiction, EskWork, its officers, directors, shareholders, employees, affiliates and/or agents shall not be liable to you for any direct, indirect, incidental, special, punitive, exemplary or consequential damages whatsoever, including any damages resulting from (1) errors, mistakes, or inaccuracies of or in any content; (2) any personal injury or property damage related to your use of the EskWork Services; (3) any unauthorized access to or use of our servers and/or any personal information and/or other information stored therein; (4) any interruption or cessation of transmission to or from the EskWork Services; (5) the use or display of any Content or User Content posted, emailed, transmitted, or otherwise made available via the EskWork Services; (6) events beyond the reasonable control of EskWork, including any internet failures, equipment failures, electrical power failures, strikes, labor disputes, riots, insurrections, civil disturbances, shortages of labor or materials, fires, floods, storms, earthquakes, explosions, acts of God, war, terrorism, intergalactic struggles, governmental actions, orders of courts, agencies or tribunals or non-performance of third parties; and/or (7) loss of use, data, profits, goodwill, or other intangible losses, resulting from the use or the inability to use any or all of EskWork Services.
You acknowledge and agree that these limitations of liability are agreed allocations of risk constituting in part the consideration for EskWork’s services to you, and such limitations will apply even if EskWork has been advised of the possibility of such liabilities.
You agree to defend, indemnify and hold harmless EskWork, its officers, directors, shareholders, employees, affiliates and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs, debt and expenses (including attorneys’ fees) arising from: (1) your violation of any term of these Terms of Use or any other EskWork Terms; (2) your violation of any third party right, including any copyright, access rights, property, or privacy right, resulting from your User Platform or User Content and/or your use of the EskWork Services, including, without limitation, EskWork Services’ actions for your benefit; and/or (3) any other type of claim that your User Platform and/or User Content caused damage to a third party.
14.1. Changes & Updates
EskWork reserves the right to change, suspend or terminate any of the EskWork Services (or any features thereof, or prices applicable thereto), and/or cancel your access to any of the EskWork Services (including removal of any materials created by you in connection with the EskWork Services) for any reason and/or change any of the EskWork Terms with or without prior notice - at any time and in any manner.
You agree that EskWork will not be liable to you or to any third party for any modification, suspension or discontinuance of those EskWork Services.
If any such changes involve the payment of additional Fees, we will provide you with a notice of such Fees prior to enabling such specific changes. If you fail or refuse to pay such Fees, we may (at our sole discretion) cancel your User Account (as further explained in Section 6 above), continue to support your then-current EskWork Services without enabling such changes, or provide you with alternative Services.
14.2. Governing Law & Jurisdiction; Class Action Waiver
The EskWork Terms, the rights and remedies provided hereunder, and any and all claims and disputes related hereto and/or to the EskWork Services, their interpretation, or the breach, termination or validity thereof, the relationships which result from or pursuant to the EskWork Terms, or any related transaction or purchase, shall be governed by, construed under and enforced in all respects solely and exclusively in accordance with the internal substantive laws of Costa Rica, without respect to its conflict of laws principles.
Any and all such claims and disputes shall be brought in, and you hereby consent to them being decided exclusively by, a court of competent jurisdiction located in Costa Rica. The application of the United Nations Convention of Contracts for the International Sale of Goods is hereby expressly excluded.
Subject to any applicable law, all disputes between you and EskWork shall only be resolved on an individual basis and you shall not have the right to bring any claim against EskWork as a plaintiff or a member of a class, consolidated or representative actions (or any other legal proceedings conducted by a group or by representatives on behalf of others).
14.3. Notices
We may provide you with notices in any of the following methods: (1) via the EskWork Services, including by a banner or pop-up within the EskWork Website, User Account or elsewhere; (2) by e-mail, sent to the e-mail address you provided us; and/or (3) through any other means, including any phone number or physical address you provided us. EskWork’s notice to you will be deemed received and effective within twenty four (24) hours after it was published or sent through any of the foregoing methods, unless otherwise indicated in the notice.
14.4. Relationship
The EskWork Terms, and your use of the EskWork Services, do not, and shall not be construed to create any partnership, joint venture, employer-employee, agency, or franchisor-franchisee relationship between EskWork and you.
14.5. Entire Agreement
These Terms of Use, together with the EskWork Terms and any other legal or fee notices provided to you by EskWork, shall constitute the entire agreement between you and EskWork concerning the subject matter hereof or thereof, and supersede any and all prior or contemporaneous agreements, understandings, promises, conditions, negotiations, covenants or representations, whether written or oral, between EskWork and you, including those made by or between any of our respective representatives, with respect to any of the EskWork Services. You further agree that you are not relying upon any promise, inducement, representation, statement, disclosure or duty of disclosure of EskWork in entering into any of the EskWork Terms.
14.6. Assignment
EskWork may assign its rights and/or obligations hereunder and/or transfer ownership rights and title in the EskWork Services and/or Licensed Content to a third party without your consent or prior notice to you. You may not assign or transfer any of your rights and obligations hereunder without the prior written consent of EskWork. Any attempted or actual assignment thereof without EskWork’s prior explicit and written consent will be null and void. In any event, an assignment or transfer pursuant to this Section 15.6 shall not in itself grant either EskWork or you the right to cancel any EskWork Services or Third Party Services then in effect.
14.7. Severability & Waivers
If any provision of the EskWork Terms is deemed by a court of competent jurisdiction to be invalid, unlawful, void, or for any reason unenforceable, then such provision shall be deemed severable and will not affect the validity and enforceability of the remaining provisions. No Waiver of any breach or default of any of the EskWork Terms shall be deemed to be a waiver of any preceding or subsequent breach or default.
14.8. Interpretation
These Terms of Use were written in English, and translated into other languages for your convenience. You may access and view other language versions by changing your EskWork Website language settings. If a translated (non-English) version of these Terms of Use conflicts in any way with their English version, the provisions of the English version shall prevail.

Por lo tanto, hacemos gran énfasis en animarle a mantener la confidencialidad de las credenciales de inicio de sesión de su Cuenta de Usuario y permitir dicho acceso solamente a personas de su confianza, porque usted será la persona única y totalmente responsable de todas las actividades que ocurren en su Cuenta de Usuario o las Plataformas de Usuario (incluyendo las representaciones, garantías y compromisos contraídos en los mismos), hayan sido o no específicamente autorizadas por usted, y por los daños, gastos o pérdidas que puedan resultar de tales actividades.
Usted debe proporcionar información precisa y completa al registrar su Cuenta de Usuario y utilizar los servicios de EskWork, de los cuales usted única y exclusivamente tiene derechos. Le recomendamos muy especialmente proporcionar sus propios datos de contacto y facturación (o los de su empresa), incluyendo su dirección de correo electrónico válida, porque podemos utilizarla para identificar y determinar la persona que es real y verdaderamente dueña de la Cuenta de Usuario y/o Contenido de Usuario (como se define abajo) entregada a nosotros.
En caso de una disputa sobre propiedad de una Cuenta de Usuario, nos reservamos el derecho a determinar la propiedad de una Cuenta de Usuario basados en nuestro criterio razonable, ya sea o no que hayamos llevado a cabo una investigación independiente. Sin embargo, si no podemos tomar esta determinación (como podemos considerarlo a nuestra exclusiva discreción), nos reservamos el derecho a evitar hacerlo y/o suspender una Cuenta de Usuario hasta que las partes que disputan la propiedad lleguen a una resolución, sin responsabilidad hacia usted o cualquier otra parte. Podemos solicitarle algún documento (p. Ej. Una identificación expedida por el gobierno, una licencia para ejercer negocios) que pueda ayudarnos a determinar la propiedad. Como entre EskWork y usted, usted debe poseer toda la propiedad intelectual relacionada con su Contenido de Usuario y cualesquiera otros materiales creados por usted, incluyendo la de cualesquiera diseños, imágenes, animaciones, videos, archivos de audio, fuentes, logos, ilustraciones, composiciones, obras de arte, código, interfaces, texto, y obras literarias. EskWork no reclama derechos de propiedad sobre su contenido. Con el solo objetivo de garantizarle el servicio, usted conoce y acepta que necesitaremos acceder, cargar y/o copiar su Contenido de Usuario a nuestra plataforma, incluyendo los servicios en la nube y los CDN, para hacer los ajustes de visualización, para duplicarlos para copia de seguridad y llevar a cabo cualquier otra acción técnica y/o usos requeridos para prestar sus servicios, como nos parezca necesario.
Todos los derechos, título e interés en y a los Servicios de EskWork, incluyendo cualquiera y todos los materiales susceptibles de tener derechos de autor o cualquier otro contenido de los mismos que esté o pueda estar sujeto a derechos de propiedad intelectual bajo cualquier ley aplicable (incluyendo artes, gráficos, imágenes, plantillas y widgets de sitio web, obras literarias, código fuente y objeto, código de computadora (incluyendo html), aplicaciones, audio, música, vídeo y otros medios, diseños, animaciones, interfaces, documentación, derivados y versiones de los mismos el "look and feel" de los Servicios, métodos, productos, algoritmos, datos, características y objetos interactivos de EskWork, herramientas y métodos de publicidad y adquisición, inventos, secretos comerciales, logotipos, dominios, URLs personalizadas, marcas registradas, marcas de servicio, nombres comerciales y otros identificadores de propietario, ya sean o no registradas o susceptibles de ser registradas (colectivamente, "Propiedad intelectual"), y cualesquiera derivaciones de las mismas, son propiedad de o licenciadas a EskWork.
Sujeto a su pleno cumplimiento de los Términos de EskWork y al pago puntual de todas las Tarifas aplicables, EskWork le otorga por el presente documento, al crear la Cuenta de Usuario y durante el tiempo que desee EskWork ofrecerle los Servicios de EskWork, una licencia no exclusiva, no transferible, no sublicenciable, limitada y totalmente revocable para utilizar los Servicios de EskWork y el Contenido con Licencia, con el propósito de generar y visualizar su Plataforma de Usuario a Usuarios Finales y ofrecer sus Productos de Usuario (como se definen más adelante) en el mismo, únicamente como se permite expresamente bajo los Términos de EskWork, y únicamente dentro de los Servicios de EskWork.
Los Términos de EskWork no transmiten ningún derecho o interés en o a la Propiedad Intelectual de EskWork (o cualquier parte de la misma), excepto solamente para la licencia limitada expresada más arriba. Nada en los términos de EskWork constituye una cesión o renuncia de los derechos de Propiedad Intelectual de EskWork bajo ninguna ley.
Si usted nos hace llegar sugerencias, comentarios u otras informaciones relativas a los Servicios de EskWork (ya sean existentes, sugeridos o contemplados), que estén o puedan estar sujetos a derechos de Propiedad Intelectual (“Feedback”), estos comentarios serán propiedad exclusiva de EskWork. Al enviar dichos Comentarios a EskWork, usted reconoce y acepta que pueden ser usados por EskWork para (i) continuar el desarrollo, personalizar y mejorar los Servicios de EskWork, (ii) proporcionar asistencia y soporte técnico continuado, (iii) ponerse en contacto con usted con noticias y/o solicitudes de entrevistas generales o personalizadas relacionadas con EskWork que pueden estar o no estar basadas en sus opiniones, (iv) facilitar, patrocinar y ofrecer ciertas promociones, y supervisar el rendimiento, (v) generar datos estadísticos consolidados y otras informaciones consolidadas y/o inferidas, que EskWork puede utilizar para proporcionar y mejorar sus servicios, (vi) mejorar la seguridad de los datos y las capacidades de prevención de fraudes de EskWork, y (vii) cumplir con todas las leyes y reglamentaciones aplicables. Además, usted (1) representa y garantiza que dichos Comentarios son exactos, completos, y no infringen los derechos de terceros; (2) irrevocablemente asigna a EskWork todo derecho, título e interés que pueda tener en dichos Comentarios, y (3) expresa e irrevocable renuncia a cualquier y todas las demandas relacionadas con cualesquiera derechos morales pasados, presentes o futuros, derechos de artista o cualquier otro derecho parecido en todo el mundo en o a tales comentarios.
Ciertas partes de los Servicios de EskWork (incluyendo ciertos Servicios de Terceros disponibles en ellos, según está explicado más en detalle en la Sección 8 a continuación) requieren o implican el envío, la recolección y/o el uso de cierta información personalmente identificante o identificable. En particular y como parte de acceder a o utilizar los Servicios de EskWork, EskWork y dichos Servicios de Terceros podrán recopilar, acceder a y utilizar ciertos datos referentes a los Usuarios y los Usuarios Finales, incluyendo las actividades o navegación realizadas por los Usuarios y los Usuarios Finales a través de los servicios de EskWork y/o Plataformas de Usuario.
El uso de determinados Servicios de EskWork puede estar sujeto a pago de tarifas particulares, según lo determinado por EskWork a su sola discreción ("Servicios de pago" y "tarifas", respectivamente). EskWork dará notificación de dichos cargos actualmente en vigor relativas a estos Servicios de Pago. Si desea recibir o utilizar estos Servicios de Pago, deberá pagar por adelantado todos los cargos aplicables.
EskWork se reserva el derecho a modificar sus Tarifas en cualquier momento, previo aviso a usted si dichos cambios pueden afectar sus suscripciones existentes. Si usted recibió un descuento u otra oferta promocional, EskWork tendrá derecho a automáticamente y sin previo aviso renovar su suscripción a dichos Servicios de EskWork con la Tarifa completa.
Todas las Tarifas se considerarán en Dólares Estadounidenses, excepto como específicamente EskWork haya dicho algo diferente por escrito. En la medida permitida por la ley (y a menos que EskWork especifique lo contrario por escrito), todas las Tarifas son exclusivas de todos los impuestos (incluyendo el impuesto de valor agregado, impuesto sobre las ventas, impuesto sobre bienes y servicios, etc.), gravámenes u obligaciones gravadas por las autoridades de impuestos ("Impuestos"), y usted será responsable del pago de todos los Impuestos relacionados con el uso de los Servicios de EskWork, o de los pagos o compras realizadas por usted. Si EskWork está obligado a cobrar o pagar Impuestos por las Tarifas pagaderas por usted, y si estos Impuestos fueron o no añadidos y recolectados de usted para las transacciones anteriores, estos impuestos pueden agregarse al pago de Tarifas pendientes y se reflejarán en la factura de dicha transacción. Le recomendamos que compruebe la existencia de cargos adicionales que puedan cobrar terceros en relación con la compra de Servicios de Pago o en relación con la renovación de los mismos (como honorarios de transacción internacional, tasas de cambio de moneda o por cobros de bancos o compañías de tarjetas de crédito). EskWork no es responsable de tales cargos o costos adicionales.
Como parte de la inscripción o la presentación de información para recibir Servicios de Pago, usted también autoriza a EskWork (ya sea directamente o a través de sus filiales, subsidiarias o terceros) para solicitar y cobrar el pago (o de lo contrario cargar, reembolsar o tomar cualquier otra acción de facturación) de nuestro proveedor de pago o su cuenta bancaria designada, y para hacer cualquier consulta que EskWork o sus filiales consideren necesarias para validar su cuenta de pago designada o su información financiera, para garantizar el pronto pago, así como para la recepción de detalles de pago actualizados de su proveedor de pagos, de tarjeta de crédito o de cuenta bancaria (por ejemplo, fecha de expiración o número de tarjeta actualizados tal como pueden ser proporcionados por su compañía de tarjetas de crédito).
EskWork o sus compañías afiliadas emitirán una factura o una nota de crédito para cualquier pago de Tarifas o el reembolso hecho a o por EskWork ("Factura"). Cada Factura se emitirá en forma electrónica y con base en el país mencionado en su dirección de facturación y estará disponible para usted a través de su Cuenta de Usuario o por correo electrónico. Con el fin de emitir la Factura, se le puede requerir que proporcione cierta Información Personal (como se define tal término en la Política de Privacidad) para cumplir con las leyes locales. Tenga en cuenta que la Factura en su Cuenta de Usuario puede ser inadecuada para los requisitos de la legislación local y en tal caso puede utilizarse solo con fines de pro forma.
Para asegurar que no tenga ninguna interrupción o pérdida de ciertos Servicios Pagados incluyen una opción de renovación automática predeterminada, según la cual, a menos que usted inhabilite la opción de renovación automática, tales Servicios de Pago se renovarán automáticamente el o al final del período de suscripción, por un período de renovación igual en el tiempo al período de suscripción original.
(a excepción de los períodos extendidos). Por ejemplo, si el período de suscripción original de un Servicio es un mes, cada uno de sus períodos de renovación (según sean aplicables) será por un mes Por lo tanto, según sea aplicable EskWork intentará automáticamente cobrarle los Costos aplicables utilizando el método de pago que usted tiene registrado con EskWork, dentro de las dos (2) semanas antes del comienzo real de tal período de renovación. En caso de no poder cobrar las Tarifas adeudadas por usted, podremos a nuestra sola discreción (mas no estaremos obligados a) reintentar el cobro en un momento posterior, o suspender o cancelar su Cuenta de Usuario, sin previo aviso. Si su Servicio de Pago está sujeto a un período de suscripción anual o de varios años, EskWork hará el esfuerzo de entregarle una notificación antes de la renovación de dicho Servicio de Pago al menos treinta (30) días antes de la fecha de renovación.
Usted puede inhabilitar la opción de renovación automática o cancelar sus Servicios de Pago en cualquier momento en su Cuenta de Usuario o visitando el Centro de Ayuda de EskWork.
Ciertos dominios están sujetos a una política de renovación diferente como se detalla en el Acuerdo de Registro de Dominios. Sin perjuicio de cualquier cosa en contrario en lo anterior, usted es y será el único responsable de verificar y asegurar la exitosa renovación de los Servicios de EskWork que utiliza (ya sea que los Servicios de EskWork estén o no sujetos a renovaciones de suscripción automáticas). Por consiguiente, usted tendrá la única responsabilidad respecto a cualquier interrupción de los Servicios de EskWork previamente adquiridos por usted, incluso debido a una cancelación, si no se cobran las Tarifas recurrentes, o debido a que algunos de los servicios de EskWork no están sujetos a las renovaciones de suscripción automáticas. Usted reconoce y acepta que no tendrá reclamos contra EskWork en relación con la interrupción de cualquiera de los Servicios de EskWork o Servicios de Terceros, por cualquier razón.
Si no está satisfecho con los Servicios de EskWork sujetos a un Cargo por un compromiso de período de servicio o suscripción y el cual es su compra inicial de dicho servicio, usted puede darnos un aviso de cancelación por cualquier razón dentro de los treinta (30) días siguientes a la fecha en que ha ordenado o activado por primera vez tales Servicios de EskWork (el "Reembolso" y el "Período de Reembolso"). El Reembolso solo es aplicable a la compra inicial de los servicios de EskWork, la cual es una actualización de un sitio web gratuito mediante la compra de un Plan (como se ofrece en la Página Web de EskWork). El Reembolso no es aplicable a las compras adicionales, actualizaciones, modificaciones o renovaciones de los Servicios de EskWork. Si usted reside en una jurisdicción que requiere un Período de Reembolso más largo, por supuesto estaremos encantados de acoger tales requisitos, de conformidad con todas las leyes aplicables. Si EskWork recibe dicha notificación dentro del Período de Reembolso, le reembolsará la cantidad que realmente le cobró por los Servicios de EskWork, en la moneda que se le cobró originalmente, y los cancelará por consiguiente. Tenga en cuenta que la cantidad de Reembolso puede ser diferente de la cantidad que se le cobró debido a las variaciones de la tasa de cambio y honorarios de terceros. EskWork no será responsable de cualquier diferencia causada por la variación de los tipos de cambio ni las tasas que fueron cobradas por terceros. Después del Período de Reembolso, las Tarifas pagadas por usted son no reembolsables y no cancelables. Además, si encontramos que se ha dado un aviso de cancelación de mala fe o en un intento ilegítimo de evitar el pago por los servicios realmente recibidos y disfrutados, nos reservamos el derecho a todavía cobrar al Usuario que envió dicha notificación por los Servicios de EskWork realmente recibidos, en la medida permitida por la ley.
Por favor, tenga en cuenta que: Algunos de los servicios comprados en o a través de los Servicios de EskWork pueden no ser reembolsables. Estos incluyen los Servicios de Terceros tales como dominios, herramientas de negocios y aplicaciones. Los términos de cada aplicación o servicio adquirido se indican en el Sitio Web de EskWork o como parte de o durante el proceso de compra de dichos servicios o aplicaciones. Es su obligación verificar la capacidad de cancelar un servicio antes de adquirirlo. Si en cualquier momento registramos una declinación, contracargo u otro rechazo de un cargo de las Tasas a pagar en su cuenta de EskWork ("Contracargo"), esto se considerará como un incumplimiento de sus obligaciones de pago conforme al presente, y el uso de los servicios de EskWork puede ser automáticamente deshabilitado o terminado.
En caso de que se realice un Contracargo, su Cuenta de Usuario puede ser bloqueada sin la opción de volver a comprarla o reutilizarla, y los datos contenidos en dicha Cuenta de Usuario, incluyendo los dominios, aplicaciones y Servicios de Terceros pueden estar sujetos a cancelación y Pérdida de la Capacidad (según se define en la Sección 6.3 a continuación).
Su uso de los Servicios de EskWork no se reanudará hasta que vuelva a suscribirse a los Servicios de EskWork y pague cualquier cargo aplicable en su totalidad, incluidos todas las Tarifas y gastos incurridos por EskWork o cualquier Servicio de Terceros para cada Contracargo recibido (incluidas las Tarifas para los Servicios de EskWork prestados antes del Contracargo, cargos de manejo y procesamiento y gastos incurridos por el procesador de pagos).
Si usted tiene alguna pregunta o inquietud con respecto a un pago efectuado a EskWork, le animamos a que primero entre en contacto con nuestro equipo de Atención al Cliente antes de presentar un Contracargo o reversión del pago, para evitar la cancelación de los Servicios de EskWork y el bloqueo de su Cuenta de Usuario, y para evitar la presentación injustificada o errónea de un Contracargo, lo que puede resultar en que usted sea responsable por los Cargos aplicables, además del repago de todas las Tarifas aplicables a los Servicios de EskWork comprados (y Contracargados) por usted.
Nos reservamos el derecho de disputar cualquier Contracargo recibido, incluyendo el suministrar a la correspondiente empresa de tarjetas de crédito o institución financiera la información y documentación que prueba que el Usuario responsable de tal Contracargo en realidad autorizó la transacción e hizo uso de los servicios prestados después de eso.
Puede dejar de utilizar y solicitar la cancelación de su Cuenta de Usuario o los Servicios de EskWork en cualquier momento, conforme a las instrucciones disponibles en los Servicios de EskWork. La fecha y hora efectiva para dicha cancelación será la fecha y hora en que usted haya completado el proceso de cancelación de los Servicios de EskWork, y la fecha efectiva de cancelación de Servicios de Pago será el final del periodo de suscripción de los Servicios de Pago.
Sin perjuicio de cualquier cosa en contrario en lo anterior, con respecto a las suscripciones renovadas automáticamente a Servicios de Pago, dicha suscripción se suspenderá solo a la expiración del respectivo período para el cual ya ha hecho el pago. Tenga en cuenta que como el proceso puede tardar unos días, para evitar la próxima renovación automática y el cargo respectivo, la solicitud de cancelación debe hacerse por lo menos catorce (14) días antes de la expiración del período de servicio actual.
El incumplimiento de cualquiera de los Términos de EskWork o la falta de pago de cualquier Tarifa adeudada dará a EskWork el derecho de suspender (hasta que se realice el pago total) o cancelar su Cuenta de Usuario y la Plataforma de Usuario (o ciertas características del mismo), así como la prestación de los Servicios de EskWork relacionados (p. ej., Servicios de Pago) o Servicios de Terceros a usted.
Si se cancela su Cuenta de Usuario o cualquier Servicio de EskWork o Servicios de Terceros relacionados con su Cuenta de Usuario (ya sea por su petición o a discreción de EskWork), esto puede causar o provocar la pérdida de ciertos contenidos, funciones o capacidad de su Cuenta de Usuario, incluyendo cualquier Contenido de Usuario, datos de Usuario Final u otros datos de uso conservados en ellos, y cualquier reserva o registro de nombre de dominio que estuviera incluida en dichos Servicios ("Pérdida de capacidad"). EskWork no será responsable en modo alguno por tal Pérdida de Capacidad, o por guardar una copia de seguridad de su Cuenta de Usuario, Contenido de Usuario o datos de Usuario Final. Tenga también en cuenta que se pueden aplicar Tarifas adicionales a la reactivación de una Cuenta de Usuario o los Servicios de EskWork luego de su cancelación, según lo determinado por EskWork a su sola discreción.
Los Servicios de EskWork también incluyen ciertas características que le permiten vender mercancías, contenidos, medios y servicios a través de su Plataforma de Usuario ("Productos del Usuario" y colectivamente – "Comercio Electrónico").
Usted es exclusivamente responsable de sus Productos de Usuario y las actividades relacionadas con el Comercio Electrónico y cualesquiera promociones y Contenido relacionado contenidos o mencionados en su Plataforma de Usuario y el cumplimiento de cualquier ley aplicable a los mismos. Simplemente estamos proporcionando la plataforma para que usted administre sus actividades de Comercio Electrónico en línea. No estamos involucrados en su relación o cualquier transacción con cualquier comprador real o potencial de sus Productos de Usuario. Cuando alguien compre sus Productos de Usuario, los pagos de dicha transacción serán procesados a través de los terceros proveedores de servicios de pagos con los cuales usted haya decidido registrarse y configurar una cuenta ("Proveedor(es) de Servicios de Comercio Electrónico"), de acuerdo con los términos de servicio de tal Proveedor de Servicios de Comercio Electrónico y otras políticas aplicables. Nos somos ni parte de ni responsables de ninguna manera por su relación con estos Proveedores de Servicios de Comercio Electrónico, ni de las acciones de cualquiera de estos Proveedores de Servicios de Comercio Electrónico.
Mediante el uso de cualquiera de nuestras funciones de Comercio Electrónico, usted reconoce, garantiza y acepta que:
Usted será el único y total responsable de todos los Impuestos y tasas de cualquier naturaleza relacionados con sus actividades de Comercio Electrónico, incluyendo los Impuestos relacionados con la compra o venta de los Productos de Usuario, y de recaudar, reportar y remitir las cantidades correctas a las autoridades competentes y/o de informar de esto a sus Usuarios Finales y de entregarles una factura debidamente emitida según lo requerido por la ley;
Cualquier impuesto indicado por las características de Comercio Electrónico que le suministró EskWork se proporciona únicamente para fines de ilustración y no se puede confiar en ellas de cualquier manera;
Usted deberá ser responsable de y correr con todos los costes de adquisición y entrega de sus Productos de Usuario y de proveerlos de una manera segura y profesional, consistente con los estándares de la industria;
Usted es el único responsable por cualquiera y todas las declaraciones y promesas que haga, y por toda la asistencia, garantía y soporte respecto a los Productos de Usuario, y proporcionará información de contacto verdadera en su Plataforma de Usuario para preguntas, quejas o reclamos;
No puede ofrecer ni vender ningún Producto de Usuario o suministrar cualquier información, Contenido o material sobre los Productos de Usuario, que puedan ser considerados peligrosos, falsos, robados, fraudulentos, ofensivos o abusivos; que estén prohibidos para la venta, distribución o uso; o que de cualquier otro modo no cumplan con las leyes aplicables, incluyendo las leyes respecto a los derechos del consumidor, propiedad intelectual o derechos de privacidad, seguridad de los productos, regulaciones y sanciones del comercio, soporte, mantenimiento y exportación; y –
EskWork puede, en cualquier momento ya su sola discreción, suspender, inhabilitar el acceso a o remover su Plataforma de Usuario y/o cualquier Producto de Usuario, ya sea o no incorporado, publicado con o hecho parte de su Plataforma de Usuario en ese momento, sin ninguna responsabilidad hacia usted o para cualesquiera Usuarios Finales, incluidos por cualquier Pérdida de Capacidad como resultado de ello.
Como parte de los servicios de EskWork, EskWork puede proporcionar servicios de vídeo para la gestión de videos en las Plataformas de Usuario (los "Servicios de Video").
El uso de los servicios de video para su Plataforma de Usuario puede requerir que usted reciba una licencia para utilizar ciertas patentes (la "Licencia").
Además de lo mencionado en la Sección 13 de estos Términos de Uso y sin ninguna limitación de responsabilidad, usted deberá indemnizar, defender y proteger a EskWork, sus funcionarios, directores, accionistas, empleados, afiliados y agentes, de cualquier y todos los daños y costos, obligaciones, pérdidas, responsabilidades y gastos (incluyendo honorarios de abogados), devengados, que surjan de o se relacionen con la violación o el mal uso de la cobertura del conjunto de patentes.
Los Servicios de EskWork le permiten contratar y adquirir ciertos servicios, productos y herramientas de terceros para mejorar su Plataforma de Usuario y su experiencia general de usuario, incluyendo sin limitación registradores de dominios desde los que puede comprar un nombre de dominio para su Sitio Web de Usuario, aplicaciones y widgets de terceros que se ofrecen a través del Sitio Web de EskWork, Contenido con Licencia de terceros, servicios de distribución de medios, Proveedores de Servicios de Comercio Electrónico, vendedores de productos tangibles, terceros diseñadores que pueden ayudarle con su Plataforma de Usuario, etc. (en conjunto, "Servicios de Terceros").
Usted reconoce y acepta que, independientemente de la forma en que se pueden ofrecer a usted dichos Servicios de Terceros (incluidos con o integrados en ciertos Servicios de EskWork, ofrecidos por separado por EskWork o personas certificadas o autorizadas por EskWork u ofrecidos de alguna otra forma en cualquier lugar en los Servicios de EskWork), EskWork simplemente actúa como una plataforma intermediaria entre usted y dichos Servicios de Terceros, y de ninguna manera avala dichos Servicios de Terceros, ni será de cualquier manera responsable u obligada con respecto a los mismos. EskWork no será parte de, ni de ninguna manera será responsable de supervisar, cualquier interacción o transacción entre usted y cualquier Servicio de Terceros.
Usted reconoce que tales servicios pueden requerir el pago de sumas adicionales a EskWork y/o los prestadores de dichos Servicios de Terceros.
Cualquiera y todos los usos de dichos Servicios de Terceros se realizarán únicamente a su propio riesgo y responsabilidad y pueden estar sujetos a los términos legales y financieros que regulan dichos Servicios de Terceros, que le invitamos a revisar antes de contratar con ellos.
Aunque esperamos evitar estos casos, EskWork puede, en cualquier momento y a su sola discreción, suspender, desactivar el acceso a o eliminar de su Cuenta de Usuario, Plataforma(s) de Usuario o los Servicios de EskWork, cualquiera de los servicios de terceros, ya sea que esté o no incorporado con o hecho parte de su Cuenta de Usuario o Plataforma(s) de Usuario en ese momento, sin ninguna responsabilidad con usted o los usuarios finales.
Al utilizar los servicios de EskWork, usted puede estar expuesto a Plataforma de Usuario, Contenido de Usuario o Servicios de Terceros de una variedad de fuentes, que pueden ser inexactos, ofensivos, desagradables o ilegales. Por el presente usted renuncia a cualquier derecho o remedio legal o equitativo que tiene o pueda tener contra EskWork con respeto al mismo.
Si cree que un Usuario o cualquier Servicio de Terceros actuó en forma inadecuada o de alguna otra forma usó mal cualquiera de los Servicios de EskWork, por favor repórtenos de inmediato a dicho Usuario o Servicio de Terceros. Usted acepta que su informe no impondrá ninguna responsabilidad u obligación sobre EskWork, y que EskWork puede considerar tal informe y actuar en consecuencia, abstenerse de cualquier acción o requerir información adicional o documentos antes de hacerlo, a su sola discreción.
EskWork actúa conforme a su interpretación de la Digital Millennium Copyright Act ("DMCA"). Si usted cree que su trabajo ha sido copiado o de cualquier otra forma usado de forma que constituye una infracción de los derechos de autor, puede notificarnos esta infracción usando suministrarnos por escrito la siguiente información a nuestro Agente de Derechos de Autor designado: (1) información de contacto de la persona autorizada para actuar en nombre del propietario de los derechos de autor; (2) una descripción del trabajo registrado que usted declara que ha sido infringido; (3) una descripción del material que usted alega que infringe o que es el tema de la actividad que infringe y que debe ser quitado o su acceso debe ser deshabilitado, e información suficiente para permitir a EskWork localizar el material (incluyendo dirección de URL); (4) una declaración de que usted cree de buena fe que el uso del material de la manera que es motivo de la queja no está autorizado por el propietario del derecho de autor, su agente o la ley; y (5) una declaración de que la información en la notificación es exacta y, bajo pena de perjurio, que usted es el propietario de los derechos de autor o está autorizado para actuar en nombre del propietario de los derechos de autor que presuntamente se han infringido.
En caso de que EskWork reciba aviso sobre una infracción de derechos de autor relacionada con su Cuenta de Usuario o la Plataforma de Usuario, puede cancelar su Cuenta de Usuario, desactivar su Plataforma de Usuario o eliminar cualquier Contenido a su discreción, con o sin previo aviso. En tal caso, usted puede presentar un recurso adecuado según la sección 512 de la DMCA, en el cual debe incluir: (1) su nombre completo, dirección, número de teléfono y firma física o electrónica; (2) identificación del material y su ubicación antes de la eliminación; (3) una declaración bajo pena de perjurio de que el material fue eliminado por error o identificación errónea; (4) su consentimiento a un órgano judicial adecuado; y (5) cualquier otra información requerida bajo las disposiciones de la DMCA. Cualquier notificación presentada en virtud de esta sección 9 puede considerarse aceptada, aplicable y compatible con la DMCA, o no, a la discreción razonable de EskWork. EskWork se reserva el derecho de notificar a la persona o entidad que dio el aviso de infracción sobre dicho recurso y proporcionará los datos incluidos en el mismo.
Prestamos los Servicios de EskWork en una base de "Como Son", "con todos sus fallos" y "Como esté Disponible", sin garantías de ningún tipo, incluyendo cualquier garantía implícita o condiciones de comerciabilidad, idoneidad para un propósito particular, esfuerzo profesional, no infracción, o cualquier otra garantía, todo en la mayor medida permitida por la ley. Específicamente no representamos ni garantizamos que los Servicios de EskWork (o cualquier parte, característica o contenido de los mismos) sean completos, exactos, de cierta calidad, confiables o seguros de cualquier forma, adecuados para o compatibles con cualquiera de sus actividades contempladas (o las de sus usuarios finales), dispositivos, sistemas operativos, navegadores, software o herramientas (o que permanecerán como tales en cualquier momento), ni que cumplirán con cualquier ley aplicable para usted o sus Usuarios Finales (incluso en cualquier jurisdicción en la que usted opere), o que su funcionamiento esté libre de cualquier virus, bugs u otros componentes dañinos o limitaciones del programa. Por otra parte, no respaldamos ninguna entidad, producto o servicio (incluyendo los Servicios de Terceros) mencionado en o hecho disponible a través de los Servicios de EskWork – así que asegúrese de verificarlos antes de usarlos o contratarlos de cualquier forma.
EskWork puede, a su sola discreción (sin embargo, no tendrá ninguna obligación de hacerlo), filtrar, monitorizar o editar cualquier Plataforma de Usuario o Contenido de Usuario, en cualquier momento y por cualquier motivo, con o sin previo aviso.
Sin perjuicio de cualquier disposición en contrario anterior, en ningún caso puede EskWork ser considerado como "Editor" de cualquier Contenido de Usuario, de ninguna manera avala ningún Contenido de Usuario y no asume ninguna responsabilidad por cualquier Contenido de Usuario cargado, escrito, publicado y/o puesto a disposición por cualquier Usuario o cualquier otro en o a través de los Servicios de EskWork, para cualquier uso por cualquier parte, o por cualquier pérdida, eliminación o daño al mismo o del mismo o cualquier pérdida, daño, costo o gasto que usted u otros puedan sufrir o incurrir como resultado de o en relación con la publicación, acceso o confianza en cualquier Contenido de Usuario. Además, EskWork no será responsable por cualquier error, difamación, calumnias, falsedades, obscenidad, pornografía, incitación o cualquier otro Contenido de Usuario ilícito o infractor que puede encontrar usted o cualquier otro.
Reconoce que existen riesgos en la utilización de los Servicios de EskWork, al conectar o al hacer tratos con cualquier Servicio de Terceros a través de o en relación con los Servicios de EskWork, y que EskWork no puede y no garantiza los resultados específicos de dichos utilización o interacciones, y por el presente usted asume todos esos riesgos, responsabilidades o daño de cualquier tipo que surja en relación con o como resultado de tales interacciones. Tales riesgos pueden incluir, entre otros, tergiversación de información acerca de y por Servicios de Terceros o Contenido Licenciado, incumplimiento de garantía o de contrato, violación de derechos, y cualesquiera reclamaciones consiguientes.
EskWork no recomienda el uso de los Servicios de EskWork para el alojamiento de contenido personal y no asumirá ninguna obligación o riesgo de seguridad o integridad con respecto a incumplimiento o daño de cualquier contenido.
Tenga en cuenta que ciertos Servicios de EskWork se ofrecen actualmente en su versión BETA y se están sometiendo a pruebas BETA. Usted entiende y acepta que ciertos Servicios de EskWork pueden contener errores de software, sufrir interrupciones y no funcionar como está previsto o designado. El uso de los Servicios de EskWork en esta etapa BETA significa su acuerdo para participar en las pruebas BETA de los Servicios de EskWork.
Hasta la mayor medida permitida por la ley en cada jurisdicción aplicable, ni EskWork ni sus funcionarios, directores, accionistas, empleados, afiliados y/o agentes serán responsables de cualquier daño directo, indirecto, incidental, especial, punitivo, ejemplar o consecuente de ningún tipo, incluyendo cualquier daño resultante de (1) errores, imprecisiones o inexactitudes de o en cualquier contenido; (2) lesiones personales o daños a la propiedad relacionados con el uso de los Servicios de EskWork; (3) cualquier acceso no autorizado o uso de nuestros servidores o cualquier información personal u otra información almacenada en ellos; (4) cualquier interrupción o cese de transmisión hacia o desde los Servicios de EskWork; (5) el uso o la visualización de cualquier Contenido o Contenido de Usuario publicado, enviado por correo electrónico, transmitido o puesto a disposición a través de los Servicios de EskWork; o (6) eventos fuera del control razonable de EskWork, incluyendo fallas de internet, fallas de equipos, fallas de la energía eléctrica, huelgas, conflictos laborales, revueltas, motines, disturbios civiles, escasez de mano de obra o materiales, incendios, inundaciones, tormentas, terremotos, explosiones, actos de Dios, guerra, terrorismo, luchas intergalácticas, acciones gubernamentales, órdenes de las cortes, organismos y tribunales o la inejecución de terceros; y (7) pérdida de uso, datos, ganancias, goodwill u otras pérdidas intangibles, que resulten del uso o de la incapacidad de uso de cualquiera de los Servicios de EskWork.
Usted reconoce y acepta que estas limitaciones de responsabilidad son asignaciones de riesgo acordadas que constituyen en parte la consideración de los servicios de EskWork hacia usted, y tales limitaciones se aplicarán aunque EskWork haya sido advertido de la posibilidad de tales responsabilidades.
Deberá defender, indemnizar y proteger a EskWork, sus funcionarios, directivos, accionistas, empleados, afiliados y agentes, de y contra cualesquiera y todas las reclamaciones, daños, obligaciones, pérdidas, responsabilidades, costes o deudas y gastos (incluidos los honorarios de abogados) derivados de: (1) su violación de cualquiera de estos Términos de Uso o cualquiera otro de los Términos de EskWork; (2) su violación de cualquier derecho de terceros, incluyendo cualquier derecho de autor, derechos de acceso, derecho de propiedad o privacidad, resultante de su Plataforma de Usuario o Contenido de Usuario, o el uso de los servicios de EskWork;, incluyendo, sin limitación, las acciones de los Servicios de EskWork para su beneficio; y/o (3) cualquier tipo de reclamo de que su Plataforma de Usuario y/o Contenido de Usuario ha causado daños a un tercero.
EskWork se reserva el derecho de cambiar, suspender o cancelar cualquiera de los Servicios de EskWork (o características de los mismos o precios aplicables a los mismos),y/ o cancelar su acceso a cualquiera de los Servicios de EskWork (incluyendo el retiro de cualesquiera materiales creados por usted en conexión con los Servicios de EskWork) por cualquier razón y/o modificar cualquiera de los Términos de EskWork con o sin previo aviso - en cualquier momento y en cualquier forma. Usted acepta que EskWork no será responsable ante usted o ante terceros por cualquier modificación, suspensión o discontinuación de tales Servicios de EskWork.
Si tales cambios implican el pago de Tarifas adicionales, le daremos un aviso de dichas Tarifas antes de activar dichos cambios específicos. Si usted no paga o se niega a pagar dichas Tarifas, podemos (a nuestra exclusiva discreción) cancelar su Cuenta de Usuario (como se explica con más detalle en la Sección 6 anterior), continuar soportando los Servicios de EskWork anteriormente vigentes sin habilitar esos cambios o proporcionarle Servicios alternativos.
Los términos de EskWork, los derechos y remedios proporcionados bajo esta garantía y cualesquiera y todos los reclamos y disputas relacionados con el presente Reglamento o con los servicios de EskWork, su interpretación, o el incumplimiento, terminación o validez del mismo, las relaciones que resulten de o en virtud de los Términos de EskWork, o cualquier transacción o compra relacionada, se regirá, interpretará bajo y será obligatoria en todos los sentidos única y exclusivamente con arreglo a las leyes sustantivas internas del estado de Israel, sin respecto a sus principios de conflicto de las leyes.
Cualquiera y todas las reclamaciones y disputas serán llevadas a, y usted consiente, que ellas sean decididas exclusivamente por un tribunal de jurisdicción competente ubicado en Costa Rica. La aplicación de la Convención de las Naciones Unidas sobre los Contratos de Compraventa Internacional de Mercaderías queda expresamente excluida por el presente acuerdo.
Con sujeción a cualquier ley aplicable, todas las disputas entre usted y EskWork solo serán resueltas en forma individual y usted no tendrá derecho a presentar ninguna reclamación contra EskWork como demandante o como miembro de una acción de clase, consolidada o representativa (o cualquier otro procedimiento legal realizado por un grupo o por representantes en nombre de otros).
Podemos darle avisos por cualquiera de los siguientes métodos: (1) a través de los Servicios de EskWork, incluyendo un banner o pop-up en la Página Web de EskWork, Cuenta de Usuario o en otros lugares; (2) por correo electrónico, enviado a la dirección de correo electrónico que nos proporcionó, o (3) por cualquier otro medio, incluyendo cualquier número de teléfono o dirección física o número que nos haya proporcionado. El aviso de EskWork para usted se considerará recibido y efectivo dentro de las veinticuatro (24) horas después de que fue publicado o enviado a través de cualquiera de los métodos anteriores, salvo que se indique otra cosa en el aviso.
Los Términos de EskWork, y su uso de los Servicios de EskWork, no se interpretan y no deberán interpretarse en el sentido de que crean cualquier asociación, empresa conjunta, relación de empleador-empleado, agencia o franquiciador-franquiciado entre usted y EskWork.
Estos Términos de Uso, junto con los Términos de EskWork y cualesquiera otras notificaciones legales o avisos de pago enviados a usted por EskWork, constituirán el acuerdo completo entre usted y EskWork sobre el tema presente de los mismos y reemplaza cualquier y todos los acuerdos, entendimientos, promesas, condiciones, negociaciones, convenios o representaciones anteriores o contemporáneos, ya sea orales o escritos, entre usted y EskWork, incluyendo aquellas hechas por o entre cualquiera de nuestros respectivos representantes, con respecto a cualquiera de los Servicios de EskWork. Usted además acepta que no se está basando en ninguna promesa, inducción, representación, declaración, revelación o deber de divulgación de EskWork al entrar en cualquiera de los términos de EskWork.
EskWork puede ceder sus derechos y/u obligaciones bajo este acuerdo o transferir los derechos y título de propiedad en los Servicios de EskWork y/o Contenido Licenciado a un tercero sin consentimiento de usted o aviso previo. Usted no puede asignar o transferir ninguno de sus derechos y obligaciones conforme al presente sin el previo consentimiento por escrito de EskWork. Cualquier asignación intentada o real del mismo sin previo consentimiento expreso escrito de EskWork será nula y sin valor. En cualquier caso, una asignación o transferencia de acuerdo con esta Sección 13.6 no otorgará por sí sola a EskWork ni a usted el derecho a cancelar ninguno de los Servicios de EskWork ni los Servicios de Terceros entonces en efecto.
Si cualquier disposición de los Términos de EskWork es considerada inválida, ilegal, nula o por cualquier razón inaplicable por un tribunal de jurisdicción competente, dicha disposición se considerará divisible y no afectará la validez y exigibilidad de las disposiciones restantes. Ninguna Renuncia de cualquier violación o incumplimiento de cualquiera de los Términos de EskWork se considerará una renuncia de cualquier incumplimiento anterior o posterior.
